1. Acceptance of Terms

By accessing this website or engaging any services from Stratovus Consulting LLC (“Stratovus”), you agree to be bound by these Terms. If you do not agree, discontinue use of the site and services.

2. Services Provided

  • Fractional CFO services

  • Accounting oversight

  • Financial Planning & Strategy

  • Tax strategy and legal compliance 

  • Financial modeling and valuations

  • Strategic advisory projects

Stratovus does not provide accounting, audit, attestation, or investment-advisory services.

3. Client Responsibilities

The client must supply complete, accurate, and timely information; provide prompt access to necessary systems and personnel; and review deliverables within stated timeframes. Stratovus is not responsible for delays, inaccuracies, or losses arising from incomplete or late client data.

4. Independent Contractor Status

Stratovus performs all work as an independent contractor. No provision of these Terms creates an employer-employee relationship, partnership, joint venture, or fiduciary duty. Stratovus is solely responsible for its own payroll taxes, insurance, and benefits.

5. Non-Solicitation

The client agrees not to hire, solicit, or engage directly any Stratovus employees or subcontractors during the engagement and for twenty-four (24) months thereafter. Breach triggers a liquidated-damages fee equal to twenty-five percent (25 %) of the individual’s first-year compensation.

6. Subcontractors

Stratovus may delegate portions of work to qualified subcontractors while retaining full responsibility for deliverables, confidentiality, and quality control.

7. Appointments & Consultations

Consultations are booked via Calendly and confirmed by email. Stratovus may reschedule or cancel with reasonable notice.

8. Payments & Fees

Invoices are due upon receipt unless stated otherwise in writing. Most projects require a 50 % deposit; fixed-scope projects are prepaid and non-refundable once work begins. Overdue balances accrue a 1.5 % monthly late fee. Services may be paused for non-payment. A $35 charge applies to failed payments. The client bears all collection costs.

9. Confidentiality & Document Sharing

All client materials are confidential. Files exchanged through Stratovus’s secure portal (Sether) or other approved channels will not be shared externally without written consent. Unencrypted email is not secure; the client assumes associated risks.

10. Client Termination Policy

Monthly retainers require thirty (30) days’ written notice to cancel. Fixed-scope projects may be terminated at any time; all work completed to date is billable and non-refundable. Stratovus may terminate immediately for non-payment, breach, or misconduct.

11. Intellectual Property

All templates, tools, and reports created by Stratovus remain our property unless expressly transferred. The client receives a non-transferable license for internal use only; reproduction or redistribution is prohibited.

12. Limitation of Liability

Stratovus is not liable for indirect, incidental, or consequential damages. No guarantee is made regarding financial results or savings. All business decisions remain the client’s responsibility. Stratovus does not provide audit, legal, or tax opinions; recommendations must be confirmed with licensed professionals.

13. Indemnification

The client will indemnify and hold harmless Stratovus, its owners, subcontractors, and affiliates from all claims, losses, and expenses (including attorneys’ fees) arising from the client’s misuse of services, breach of these Terms, or violation of third-party rights.

14. Force Majeure

Stratovus is not liable for delays or inability to perform caused by events beyond reasonable control, including natural disasters, power outages, internet failures, labor shortages, or governmental actions.

15. Use of Third-Party Services

Stratovus may employ third-party platforms such as Calendly (scheduling), FileShare (file delivery), and Square (payments). Use of these services is governed by their own terms and privacy policies. Stratovus is not responsible for service interruptions or data handling outside our control.

16. Governing Law

These Terms are governed by the laws of the State of Texas. Any action must be filed in Dallas County, Texas.

17. Dispute Resolution

Any dispute shall first be submitted to mediation in Dallas County, Texas. If unresolved, the dispute will be settled by binding arbitration administered by the American Arbitration Association in Dallas County. Each party bears its own costs; arbitration fees are split equally. Judgment on the award may be entered in any court of competent jurisdiction.

18. Assignment

Neither party may assign or transfer its rights or obligations under these Terms without prior written consent, except that Stratovus may assign to a successor entity in a merger or internal reorganization.

19. Compliance With Laws

Both parties agree to comply with all applicable federal, state, and local laws and regulations in connection with these Terms and the services provided.

20. Severability

If any provision is held unenforceable, the remaining provisions will remain in full force and effect.

21. Entire Agreement and No Waiver

These Terms constitute the complete agreement between Stratovus and the client. No oral statements or prior writings alter these Terms. Failure to enforce any provision does not waive future enforcement of that or any other provision.

22. Modifications

Stratovus may update these Terms at any time. The current version will be posted on the website. Continued use of services after changes constitutes acceptance.

23. Data Retention & Destruction Policy

Client data is retained for up to three (3) years after engagement end, then permanently deleted. The client must maintain its own copies of all deliverables.

24. Tax Strategy & Compliance Scope

Stratovus coordinates tax planning with licensed CPAs and tax attorneys but does not prepare or file tax returns or represent clients before tax authorities. All tax guidance must be reviewed by the client’s licensed preparer.

25. Regional Limitation of Services

Stratovus serves businesses located in Texas, specifically within the Dallas–Fort Worth Metroplex and North Texas region. Engagement outside this area is not accepted.

26. Notice

Formal notices must be sent by certified mail, return-receipt requested, or by email with delivery confirmation, to the addresses listed in Section 28. Notices are effective on receipt.

27. Survival

Sections concerning payments, confidentiality, intellectual property, limitation of liability, indemnification, non-solicitation, governing law, dispute resolution, assignment, and data retention survive termination of the engagement.
