1. Acceptance of Terms. These Terms of Service govern your access to and use of this website and any services offered through it by Stratovus Consulting LLC. By accessing this website, submitting an inquiry, scheduling a call, purchasing a service, or otherwise using the website or services, you agree to these Terms. If you do not agree, do not use the website or services.
2. Services. Stratovus Consulting LLC provides remote consulting and advisory services, which may include fractional CFO services, financial planning, strategic finance support, financial modeling, business analysis, tax readiness coordination, and related business advisory work as described on the website or in a separate written agreement. Unless expressly stated in a separate signed agreement, services are provided on a remote basis and are limited to the scope described on the applicable service page, proposal, statement of work, or engagement letter.
3. Website Use. You may use this website only for lawful purposes and in accordance with these Terms. You may not misuse the website, interfere with its operation, attempt unauthorized access, copy or exploit website content beyond permitted use, or use the website in a way that could damage Stratovus Consulting LLC or other users.
4. No Client Relationship by Website Use. Your use of the website does not by itself create a client, advisory, fiduciary, attorney-client, CPA-client, or other professional engagement relationship. A client relationship is created only when Stratovus Consulting LLC and the client enter into a separate written agreement that defines the scope of services, fees, responsibilities, and other engagement terms.
5. Independent Contractor Status. Stratovus Consulting LLC operates as an independent contractor unless otherwise stated in a separate written agreement.
6. Fees and Payment. Fees, billing frequency, deposits, reimbursement obligations, and payment terms will be stated in the applicable proposal, invoice, order form, statement of work, or engagement letter. If no separate written payment terms apply, invoices are due upon receipt and late balances may accrue interest at the lesser of 1.5% per month or the maximum amount permitted by law. Stratovus Consulting LLC may suspend work for nonpayment where permitted by the governing engagement documents.
7. Client Responsibilities. You agree to provide timely, accurate, and complete information, documents, access, and feedback reasonably necessary for the services. Stratovus Consulting LLC is entitled to rely on information provided by you or on your behalf and is not responsible for delays, errors, or outcomes caused by incomplete, inaccurate, or untimely information.
8. Confidentiality. Each party will treat the other party’s nonpublic confidential information as confidential and will use it only for purposes related to the services, subject to disclosures required by law, court order, professional obligation, insurance requirement, or to vetted personnel, contractors, or advisors with a need to know and appropriate confidentiality obligations. You are responsible for using secure methods when transmitting sensitive information unless Stratovus Consulting LLC requires a specific secure method.
9. Intellectual Property. All website content, design, branding, graphics, copy, downloads, templates, and materials made available on the website are owned by or licensed to Stratovus Consulting LLC and are protected by applicable intellectual property laws. Unless a separate written agreement states otherwise, Stratovus Consulting LLC retains ownership of its pre-existing materials, frameworks, know-how, templates, models, processes, and work product methodologies. Upon full payment, the client receives a limited, non-exclusive, non-transferable license to use final deliverables for the client’s internal business purposes.
10. Disclaimers. The website and its content are provided for general informational purposes only. Nothing on the website constitutes legal, tax, accounting, audit, attestation, investment, securities, or other regulated professional advice, and no person should rely on website content as a substitute for advice under a formal professional engagement. 11. Limitation of Liability. To the maximum extent permitted by law, Stratovus Consulting LLC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of business opportunity, or business interruption, arising out of or relating to the website, the services, or these Terms, even if advised of the possibility of such damages. To the maximum extent permitted by law, Stratovus Consulting LLC’s aggregate liability arising out of or relating to the website, the services, or these Terms will not exceed the amounts actually paid by the claimant to Stratovus Consulting LLC for the specific services giving rise to the claim during the three-month period preceding the event giving rise to liability. If the claim relates only to website use and no fees were paid, Stratovus Consulting LLC’s aggregate liability will not exceed $100.
12. Indemnification. You agree to indemnify, defend, and hold harmless Stratovus Consulting LLC and its owners, officers, managers, employees, contractors, affiliates, successors, and assigns from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your misuse of the website, your breach of these Terms, your violation of law, or materials or information you provide.

Stratovus Consulting LLC is not responsible for the acts, omissions, uptime, security, policies, or performance of third-party providers. Where services require licensed legal, tax, accounting, valuation, investment, or other regulated professionals, those services may be referred to, coordinated with, or delivered by third parties under separate terms and professional responsibility frameworks.
14. Governing Law and Venue. These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the website, or services offered through the website shall be governed by the laws of the State of Wyoming, without regard to its conflict of laws principles, except to the extent superseded by applicable federal law or non-waivable law. Any action or proceeding arising out of or relating to these Terms, the website, or services offered through the website shall be brought exclusively in the state courts located in Laramie County, Wyoming, or, where federal subject-matter jurisdiction exists, the United States District Court for the District of Wyoming. Each party consents to the personal jurisdiction and venue of those courts.
15. Order of Precedence. If you enter into a separate written agreement with Stratovus Consulting LLC, including a proposal, engagement letter, master services agreement, statement of work, subscription agreement, or similar document, that separate written agreement will control to the extent of any conflict with these Terms. The Legal Disclaimer and Privacy Policy supplement these Terms and do not replace any separate written engagement agreement.
16. Modifications. Stratovus Consulting LLC may update these Terms from time to time by posting a revised version on the website with an updated effective date. Changes apply prospectively to website use after posting, unless a separate written agreement provides otherwise. No website-posted revision will amend a signed client agreement except as expressly permitted in that agreement.
17. General Terms. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect. Stratovus Consulting LLC’s failure to enforce any provision is not a waiver. You may not assign your rights or obligations under these Terms without prior written consent. Stratovus Consulting LLC may assign these Terms in connection with a merger, acquisition, restructuring, or sale of assets. These Terms constitute the entire agreement between you and Stratovus Consulting LLC regarding website use unless superseded by a separate written agreement. Sections that by their nature should survive termination will survive.
